1. Acceptance of Terms

By accessing or using IdeaCollab ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use our services.

Your use of IdeaCollab is also subject to our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices, including the use of cookies.

2. Description of Service

IdeaCollab is a platform designed to facilitate collaboration, idea sharing, and proposal development. We provide tools for users to create, share, vote on, and discuss ideas and proposals.

3. User Accounts

To access certain features, you must register for an account. You agree to provide accurate and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User-Generated Content (UGC) & Intellectual Property

Ownership

You retain full ownership of the ideas, proposals, and content you create ("User Content"). We do not claim ownership over your User Content.

License to IdeaCollab

By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your content solely for the purpose of operating and providing the IdeaCollab service.

Public vs. Private Content

Private Proposals: We will not display your Private proposals to the public. They are visible only to you and the specific users you invite.
Public Proposals: If you choose to make a proposal Public, you acknowledge that it will be viewable by all users of the platform.

Idea Theft & IP Disputes

IdeaCollab is a platform for sharing, and we cannot guarantee the confidentiality or security of ideas shared publicly. You acknowledge that by sharing an idea publicly, there is a risk that others may use it. We are not responsible for any idea theft, intellectual property disputes, or misappropriation that may occur between users. You share your ideas at your own risk.

Prohibited Content

You agree not to post any content that:

  • Infringes on the intellectual property rights (copyright, patent, trademark, trade secret) of others. Do not share protected IP that does not belong to you.
  • Is unlawful, harmful, threatening, abusive, or harassing.
  • Contains spam, viruses, or malicious code.

5. Subscriptions, Fees, and Payments

Billing

Some features of IdeaCollab may require a paid subscription. By subscribing, you authorize us (via our payment processor, Stripe) to charge your payment method for the applicable fees.

Cancellation

You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing cycle. After the billing cycle ends, your plan will not renew, and your access will revert to the free tier (if applicable).

Refunds

All sales are generally final. Refunds are granted at our sole discretion and are not guaranteed. Since you can cancel at any time to prevent future charges, we typically do not offer prorated refunds for partial billing periods.

6. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

7. DMCA / Copyright Infringement

We respect the intellectual property rights of others. If you believe that material available on IdeaCollab infringes on your copyright, please notify us by sending a claim to support@ideacollab.app.

8. Limitation of Liability

To the fullest extent permitted by law, IdeaCollab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the service;
  • Any conduct or content of any third party on the service;
  • Any content obtained from the service;
  • Unauthorized access, use, or alteration of your transmissions or content.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
